Seller Terms
The terms and operating responsibilities that apply to Nusatera sellers.
1. Agreement and seller status
These Seller Terms apply to each person or business approved to sell through Nusatera. A seller operates as an independent marketplace supplier and is not an employee, agent, partner or representative of Nusatera unless a separate written agreement expressly states otherwise.
2. Eligibility, onboarding and verification
Sellers must provide complete, accurate and current identity, business, contact, banking, tax and verification information requested by Nusatera or its payment providers. Nusatera may delay activation, restrict selling or withhold settlement where required information or verification is incomplete, inconsistent or reasonably suspected to be fraudulent.
3. Required marketplace disclosures
Sellers must provide the information required for online marketplace suppliers under applicable Malaysian law, including the seller’s identifying and contact information and accurate information concerning the main characteristics of goods or services, full price, payment methods, sale terms and estimated delivery information where applicable. Information must not be false or misleading.
4. Listings and product responsibility
The seller is responsible for every listing it submits, including descriptions, images, variants, stock, origin or heritage claims, safety information, required warnings, pricing and availability. The seller must have the legal right to sell the product and use all intellectual property included in its listing.
5. Prohibited products and authenticity
Sellers must not list unlawful, unsafe, counterfeit, infringing, misleading or otherwise prohibited goods. Nusatera may remove a listing, suspend sales, cancel affected orders or require evidence of authenticity, provenance, licences or regulatory compliance.
6. Inventory and order acceptance
Sellers must maintain accurate inventory and fulfil accepted orders promptly. Nusatera may create seller-specific portions of a customer order for operational purposes. The seller remains responsible for its allocated items even where the buyer completed a single multi-seller checkout.
7. Pricing and promotions
Sellers control their permitted product pricing subject to applicable law and Nusatera rules. Seller-funded discounts, vouchers or promotions reduce the amount economically attributable to that seller. Where Nusatera expressly funds a promotion, the seller allocation will be calculated under the applicable campaign terms without transferring Nusatera’s funded discount to the seller unless agreed otherwise.
8. Fees and payment processing
Nusatera may deduct agreed marketplace commission, payment-processing charges, refunds, chargebacks, adjustments, taxes or other amounts authorised by these Terms or the seller’s commercial schedule. Final commission rates and fee schedules will be disclosed to the seller before production onboarding or participation.
9. Customer payments and settlement
Customer payments may be collected through a platform payment transaction and internally allocated to the relevant seller order portions. Nusatera’s intended settlement model is to calculate each seller’s attributable amount after applicable discounts, fees, refunds and adjustments, hold that amount pending the applicable release condition, and then release or pay out the seller balance through the configured payment system.
Settlement is not deemed due merely because the buyer’s payment has been captured. Nusatera may delay release until delivery or another stated fulfilment milestone is confirmed, and may delay or reverse settlement where an order is cancelled, refunded, disputed, fraudulent, subject to a chargeback or otherwise requires adjustment.
10. Shipping policy and fulfilment
Each seller must configure and maintain the shipping services it is willing and able to fulfil. Nusatera may use Delyva or other logistics integrations to obtain available services and rates and may display only a limited number of eligible options to the buyer. The seller must use the buyer-selected eligible method or an authorised equivalent, prepare parcels correctly, hand them over promptly and provide accurate tracking and fulfilment status.
11. Cash on Delivery
Where Nusatera enables Cash on Delivery for an eligible seller, product, destination or carrier, the seller must follow the applicable COD workflow and reconciliation rules. COD availability is not guaranteed and may be restricted or withdrawn based on carrier support, risk, performance or operational requirements.
12. Returns, refunds and cancellations
Sellers must comply with Malaysian consumer law and the Nusatera Returns & Refunds Policy. Sellers must not use their own policy to remove non-excludable consumer rights. Where a refund relates to the seller’s order portion, Nusatera may reduce an unsettled seller allocation, deduct the amount from a seller balance, offset it against future amounts or otherwise recover the seller-funded portion as permitted by the seller agreement and applicable law.
13. Chargebacks and payment disputes
Sellers must cooperate promptly with requests for order, delivery, communication and product evidence. Where a chargeback or payment dispute results from the seller’s product, fulfilment, misrepresentation, failure to respond or other seller-caused issue, Nusatera may allocate the associated loss and reasonable payment-provider charges to the seller, subject to applicable law and the evidence. Losses caused solely by Nusatera’s own error will not be shifted to the seller merely because the order was a marketplace order.
14. Customer service
Sellers must respond to marketplace support and buyer issues within the service standards communicated by Nusatera, act professionally and provide information reasonably required to resolve delivery, product, return, refund or dispute matters.
15. Taxes and records
Each seller is responsible for determining and meeting its own tax, invoicing, licensing, registration and record-keeping obligations except to the extent Malaysian law expressly places an obligation on Nusatera. Sellers must provide information reasonably required for Nusatera to meet its own legal, accounting or reporting obligations.
16. Intellectual property and brand use
The seller retains ownership of its own protected materials but grants Nusatera a non-exclusive licence to host, reproduce, resize, display and promote seller-supplied listing content as reasonably necessary to operate and market Nusatera. Sellers must not misuse Nusatera branding or imply endorsement beyond their approved marketplace participation.
17. Performance, monitoring and enforcement
Nusatera may monitor cancellation rates, fulfilment speed, delivery outcomes, disputes, refunds, chargebacks, listing accuracy, customer service and compliance. Nusatera may require corrective action, restrict listings, hold settlement, suspend or terminate a seller where reasonably necessary to protect buyers, comply with law or enforce marketplace rules.
18. Indemnity and liability
To the extent permitted by law, a seller is responsible for claims, losses or costs arising from its unlawful products, infringement, misleading listings, tax or regulatory non-compliance, fulfilment failures or breach of these Seller Terms. Any indemnity or limitation remains subject to liabilities that cannot lawfully be excluded.
19. Suspension and termination
Either party may end the seller relationship subject to outstanding orders, refunds, disputes, balances and other continuing obligations. Nusatera may suspend immediately where reasonably necessary for fraud, safety, illegality, serious consumer harm, payment risk or material breach.
20. Changes, governing law and contact
